Mayer Brown Objectives

With more than 80 lawyers, including 31 partners, Mayer Brown in Paris advises French and international clients on their external growth, restructuring and financing operations.

The objectives of the collaboration between Mayer Brown and Terros to develop a web application are:

  • Web platform development: Design a robust and secure web platform that allows Mayer Brown lawyers to efficiently manage their merger-acquisition projects. Ensure a smooth and intuitive user experience.

  • Personalized dashboard: Implement a personalized dashboard for lawyers, offering an overview of their current and past projects. It should allow the creation of new projects and tracking of existing ones.

  • Project management: Integrate project management features, including the ability to create new projects, define stages and tasks, track progress and collaborate effectively with clients.

  • Data collection: Implement a system allowing easy and secure collection of client data, using customizable and user-friendly forms.

  • Internal communication: Integrate internal communication tools to allow Mayer Brown lawyers to communicate with client collaborators effectively and securely throughout the merger-acquisition process.

  • Automatic document generation: Develop a mechanism that automatically generates personalized documents from collected data, using pre-established templates. This should significantly reduce the time needed to create and customize each document.

  • Electronic signature: Integrate electronic signature features to allow lawyers to collect necessary signatures on generated documents, ensuring the legal validity of these signatures.

Solution

M&A Project Management Platform

Terros implemented for Mayer Brown a web platform to simplify and optimize the management of their various merger-acquisition projects for their clients.

On this platform, lawyers have access to a dashboard from which they can create and track their various projects.

A project consists of collecting client collaborator data, communicating with them and organizing the signing of their personalized documents automatically generated from the collected data, in order to successfully carry out the client's merger-acquisition operation.

Data collection and project progress tracking

At the beginning of a project, the administrator defines the information to be collected using a powerful and ergonomic custom form generation tool developed to meet the specific needs of the firm.

Future signatories fill out this form and provide the requested supporting documents directly on their user space within the platform.

Administrators can track the progress of each user's forms and have an overview of the project completion level.

Data and supporting document processing

Once the forms are completed, the administrator can automatically generate from a Word template, for each user, a personalized document containing the information provided by the user. This process, called mail merge, avoids the tedious manual creation of hundreds of Word documents.

In addition, the supporting documents requested from users can be validated or not by the administrator, who can choose to automatically notify the user by email.

DocuSign certified signature

Finally, to validate a project, it is necessary to collect the signature of all users.

The project administrator has the possibility to configure DocuSign signatures and the authentication mode of documents to be signed, directly from the Mayer Brown platform.
